Mutual Non-Disclosure Agreement

This Mutual Non-Disclosure Agreement is entered into between Harbourline Design Studio LLC, of 14 Harbour Lane, Portland, OR 97201 and Cobalt Ventures Inc., of 400 Bay Street, Toronto, ON M5H 2Y4 (each a “Party”, together the “Parties”) for the purpose of evaluating a potential product partnership. Each Party may act as both a disclosing and a receiving party.
1. Confidential information
Confidential information means any non-public business, technical, or financial information disclosed by one Party to the other, in writing, orally, or by inspection, whether or not marked confidential.
2. Permitted use
Each Party will use the other's confidential information solely to evaluate the potential partnership, and will limit access to employees and advisers who need it and are bound by equivalent obligations of confidentiality.
